These Terms and Conditions (“Terms”) govern your registration as a vendor and your use of the online directory located at scmbaglobal.com (“Site”), powered by SCMBA Global LLC (“Company”, “we”, “our”, or “us”). By registering as a vendor, you (“Vendor”, “you”, or “your”) agree to be bound by these Terms.

1. Acceptance of Terms

By accessing the Site and registering as a vendor, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not register or use the Site.

2. Eligibility & Registration

• Eligibility: You represent and warrant that you are legally permitted to enter into agreements and abide by these Terms and that you are at least 18 years of age.

• Registration: To register as a vendor, you must provide accurate and complete information as prompted by the registration forms. You are responsible for maintaining the accuracy of your information and for any consequences arising from inaccuracies.

3. Vendor Responsibilities

• Accurate Information: Vendors agree to provide truthful and up-to-date information about their business, products, or services.

• Content Standards: Any content, including images, descriptions, logos, and contact details you submit (“Vendor Content”), must comply with all applicable laws and must not infringe upon any intellectual property rights of third parties.

• Updates: It is your responsibility to update your Vendor Content as needed and notify us of any changes promptly.

4. Intellectual Property

• Ownership: The content displayed on the Site, including text, graphics, logos, images, and software, is owned by or licensed to SCMBA Global LLC and is protected by applicable intellectual property laws.

• License to Use Vendor Content: By submitting your Vendor Content, you grant SCMBA Global LLC a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content on the Site and associated marketing materials.

5. Use of the Directory

• Permissible Use: You agree to use the Site solely for purposes related to promoting your business and in accordance with these Terms.

• Prohibited Conduct: Vendors must not engage in any activities that:

  • Are unlawful or fraudulent;

  • Disrupt or interfere with the operation of the Site;

6. Fees and Payments

• • Free Listings: Vendors located in Nigeria are eligible to list their businesses on the directory at no cost. However, additional promotional or premium services may be offered at a fee.

  • Paid Services: Any vendor choosing to purchase promotional, advertising, or premium services will be charged according to the pricing details provided at the time of purchase.

  • No Refund Policy: All payments made for premium listings, advertising, or promotional services are non-refundable, regardless of usage, duration, or vendor-initiated cancellation.

7. Modifications & Termination

• Modifications: SCMBA Global LLC reserves the right to amend these Terms at any time. You will be notified of significant changes via email or through the Site, and continued use of the Site will constitute your acceptance of the modified Terms.

• Termination: We reserve the right to suspend or terminate your access to the Site, or remove your Vendor Content, at our sole discretion if you breach these Terms or engage in activities that we determine to be harmful to the Site or its users.

8. Disclaimers & Limitations of Liability

• Disclaimer: The Site and all Vendor Content are provided “as is” without warranties of any kind, either express or implied. SCMBA Global LLC does not warrant that the Site will be error-free or uninterrupted.

• Limitation of Liability: To the fullest extent permitted by law, SCMBA Global LLC shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the Site.

9. Indemnification
